Family Office’s Private Equity Investment Team – In-house General Counsel

Our client, an established Family Office with a solid investment track record is looking for an in‑house General Counsel with a focus on transacting private market investments.
This role is associated with facilitating the execution of PE/M&A transactions via an investment platform owned by Private Investors, utilizing Equity‑, CBs‑ and Debt instruments/structures.
The company predominantly targets sectors such as: TMT, Healthcare, Biotech, and Consumer.
- Overall, there are no strict geographical or industry restrictions in relation to the nature of the investments made
- The group largely co‑invests (rather than taking the role of the lead investor)
- Ticket sizes of said transactions range between US$15m to US$100m
- On average, the group closes 3‑5 transactions per annum (from about 200 potential transactions reviewed)
- At any one time, there will be approximately 10 transactions under post‑closing management (which includes periodical review of board resolutions and related financing documentation)
- By nature, this is a transactional role involving minimal compliance work
- Major transactions will be supported by external counsel, but significant drafting work will be carried out in‑house. This concerns especially transaction documents relating to the investment vehicle (i.e., BVI structure/entity, Cayman ELP or Cayman LLC etc.) and setting out the strategic governance with the group’s partners with which co‑Investments are undertaken
- This role offers a great opportunity to work alongside the frontline investment team in vetting investments, researching the target industry, stress testing valuation methods and models, etc.
- The role holder will work closely with a core team of 5 members, which forms the investment deal team
- The company’s atmosphere is very practical and down‑to‑earth – the successful candidate needs to be prepared to roll‑up his/her sleeves to get the work done when required
In relation to the candidate, he/she:
- Must have solid legal experience focused on PE/M&A transactions (preferably from Magic Circle‑ or US firms) with at least 4 ‑6 years PQE
- Must be comfortable using Mandarin as the daily working language
- Able to draft contracts in both English and Chinese
- Must be qualified, preferably in HK/US, PRC bar is an advantage
